1. Accepting the Terms of Service
Users’ participation and use of GainValue's web directory indicates that you, the user, agree to these Terms of Service. If these Terms of Service are not agreed to by you, then use of GainValue and all included services is prohibited.
2. Description of Service
GainValue provides its users with access and use of our online web directory consisting of categorized internet websites. You, the user, understand and agree that the "service" provided may include certain communications from GainValue pertaining but not limited to your listings acceptance and modifications with its position, title, description, or removal from directory for violation of these Terms of Service. Communications may also include, but are not limited to, promotional offers, administrative messages, and GainValue newsletters. You further agree that service with GainValue may include advertisements, paid placements, and sponsored links. These communications are considered to be included with the service and are protected by our Privacy Policy.
3. Criteria for Submission
GainValue has a NO REFUND policy. Submission fees are used to compensate our editorial staff for the time required of them to perform a thorough analysis of each site submission. GainValue reserves the right to edit the title, description and category of the listing submission at our sole discretion.

Submission title must be the official name of the site.

Use proper case for significant words, as well as proper nouns. Failure to do so will result in delay or possible exclusion.

Do not include URLs within the title or description fields.

Do not spam keywords within the title or description fields.

Submit titles and descriptions in English only.

Do not submit link redirect pages. Submit direct links only.

Do not submit mirror sites.

All websites are subject to annual review.

GainValue editors will perform random spot checks to ensure compliance with our Terms of Service.

A thorough back links check will be performed on all submissions. Websites found to be linked with neighborhoods in violation of our Terms of Service will not be eligible for inclusion.
4. Website Criteria for Inclusion
Websites both submitted to and included within GainValue's web directory should abide by the follow guidelines:

The site must be up and running 24/7.

The site must not already appear within the GainValue directory.

The site must not be under construction, including all internal pages.

The site must contain working links.
-
The site must contain relevant unique content, as determined by a GainValue editor.

The site must not contain only affiliate links, or link to affiliate programs.

The site must not contain or link to pornographic sites.
-
The site must be in English, or have English versions available.
-
The site must support multiple browsers.
-
The site must not violate a copyright or trademark.

The site must not sell or advertise prescription drugs, narcotics, or any controlled substances.

The site must not contain hidden text or have links pointing to bad neighborhoods as determined by a GainValue editor.

The site must not employ excessive amounts of advertisements or popups.

The site must not be a domain farm. (sites that interlink different domains owned by the same webmaster.)

The site must not be a mirror site.

The site must not contain any content, services, products, or information that may be illegal under any applicable law, infringe on anyone's rights, or websites deemed offensive at GainValue's sole discretion.
Please note: the above list are guidelines set by GainValue to help users evaluate their sites before submission. GainValue editors, at their sole discretion, may take several other factors into account for the acceptance or decline of a website for inclusion within the directory.
5. Registration, Use, and Restrictions
Registration of a password protected user account with GainValue is voluntary and not required for participation with the directory. You, the user, understand and agree to provide true, accurate, and current information when registering with GainValue. GainValue offers password protected user accounts only as a convenience to its users and reserves the right to remove accounts without notice for violation of these Terms of Service. You acknowledge responsibility to protect your user name(s) and password(s), any compromises should be reported immediately to GainValue. Users are prohibited from posting or transmitting harmful or illegal content, interfering with the website’s operation, trying to hack into pass-word protected areas, and taking actions that will create an unreasonably large load on the web site’s infrastructure.
6. Modification, Termination, Removal
GainValue reserves the right in its sole discretion to modify, terminate, or remove, temporarily or permanently, any part of the service, with or without notification. You agree and understand that GainValue shall not be liable to you or any third-party for modifications, terminations, or removal of the service.
You, the user, understand and agree that GainValue reserves the right in its sole discretion to terminate your password, account, or listing within the service if GainValue believes that you have in any form violated these Terms of Service. You agree that any modifications, termination, or removal of your access to the service may be initiated with or without notification. You acknowledge that GainValue may immediately modify, terminate, or remove your listing and all related information. You further agree that GainValue shall not be held liable to you or any third-party for modification, termination, or removal from the service.
7. Listings and Websites
GainValue's service provides links to outside websites found on the world wide web. Websites linked within GainValue's directory are under the control of their respective owners. You, the user, acknowledge that GainValue is not responsible or liable for any external sites availability, resources, or content. Once you, the user, leave GainValue through external links you understand and agree that GainValue shall not be held responsible or liable either directly, or indirectly, for any damages or losses alleged to be caused by outside sites or sources. User discretion is advised.
8. Disclaimer of warranties and limitation of liability
You, the user, expressly understand and agree that;

Your participation and use of the service is at your sole risk and discretion. GainValue disclaims all warranties either expressed or implied.

GainValue does not warrant that the service will meet your requirements, will be uninterrupted, timely, or error-free, or that other materials either purchased or obtained by you through the service will meet your expectations.

No information obtained by you from GainValue shall create any warranty not expressly stated in the Terms of Service.
You further understand and agree that GainValue shall not be liable for damages, including but not limited to, loss of profits, use, data, funds, or other intangible losses that may be resulting from; (I) the use or inability of use to the service. (II) funds collected for use of the service (III) conduct or statements made through third-parties of any form on the service. or (iv) any related matter to the service.
9. Trademark/Copyright
GainValue trademarks, logos, product or service names, are trademarks of GainValue. You understand that use of any trademark without prior permission from GainValue is prohibited.GainValue further respects the copyrights and trademark properties of others. Work that is believed to be violated or infringed upon must be reported immediately to GainValue.

10. General Information
These Terms of Service constitute the sole agreement between you, the user, and GainValue. (I)The governing law for the interpretation, application, and enforcement of the Terms of Service is the jurisdiction of Cleveland, Ohio. (II) The information contained in the Terms of Service constitutes the entire agreement for use of service within the directory, (II) If any provision is severed, the rest of the Terms of Service Agreement survives, and (IV) These Terms of Service are effective as of 1/7/2010.
